1. Acceptance of terms
By creating an account or using Pandora ("the Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. If you are using the Service on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.
These Terms work alongside our Privacy Policy, which describes how we handle your data. Both documents form the agreement between you and Pandora.
2. The Service
Pandora is an AI agent fleet management service. You connect a GitHub repository, dispatch tasks in plain language, and a roster of specialised AI agents (planner, builder, reviewer, tester, auditor) work on the task and produce a pull request for your approval. The Service includes the web dashboard, the agent worker loop, and the Secretary natural-language dispatch interface.
The Service is provided on an "as is" and "as available" basis. Features may change, be added, or be removed during early access. We will give reasonable notice before removing features that you depend on.
3. Account responsibilities
You are responsible for:
- The accuracy of the information you provide when creating your account.
- Keeping your password and any API tokens confidential. You are responsible for activity that happens under your account.
- The content of the repositories you connect. You confirm that you have the right to grant Pandora access to those repositories and that the code you submit does not infringe anyone else's rights.
- Reviewing and approving agent outputs before they ship. The Service surfaces every change through an approval gate — the final call rests with you, not the fleet.
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.
4. Acceptable use
You agree not to use the Service to:
- Develop, distribute, or deploy malware, ransomware, spyware, or any other malicious software.
- Build or operate spam bots, credential-stuffing tools, click farms, or any system designed to abuse third-party services.
- Generate content that is illegal, harassing, defamatory, or that violates someone else's intellectual property or privacy rights.
- Attempt to reverse-engineer the agent fleet, bypass our rate limits, or interfere with the integrity of the Service.
- Resell, sublicense, or share your account credentials with parties outside your organisation without our written consent.
We may suspend or terminate accounts that violate these rules. For severe violations (illegal activity, abuse that endangers other users or our infrastructure) we may act without prior notice.
5. Subscription, trial, and billing
Pandora is offered on a subscription basis. Details of available plans and prices are published on our pricing page. Where a free trial is offered, the trial period and any feature limits are described at sign-up.
Subscriptions renew automatically at the end of each billing period until you cancel. You can cancel at any time from your account settings; cancellation takes effect at the end of the current paid period. Fees already paid are non-refundable except where required by law, but you keep access until the period you paid for ends.
Taxes (Swiss VAT, where applicable) are added on top of the listed price unless stated otherwise. If your payment fails, we will retry and notify you; if it remains unpaid, we may suspend access until it is resolved.
6. AI outputs and intellectual property
The code, plans, reviews, and other outputs the agent fleet produces while working on your repository ("Outputs") belong to you, subject to the rights of any underlying third-party libraries or models used to produce them. You are free to use, modify, and distribute the Outputs as you would your own code.
You retain ownership of your repositories and your project content. We claim no ownership over your code by virtue of running the Service on it.
Pandora retains ownership of the Service itself — the dashboard, the worker loop, the agent orchestration logic, and any improvements we make. You receive a non-exclusive, non-transferable right to use the Service for the duration of your subscription.
AI outputs can be imperfect. The Service may produce code that is incorrect, insecure, or unsuitable for production. The approval gate exists for exactly this reason; do not ship Outputs without reviewing them.
7. Termination
You can stop using the Service at any time by cancelling your subscription and (optionally) requesting deletion of your account. We can terminate or suspend your access if you violate these Terms, if your account is inactive for an extended period, or if we discontinue the Service.
On termination: your access to the dashboard stops, scheduled agent tasks are cancelled, and your data is retained for 90 days per our Privacy Policy before being deleted. You can export your project and Output data at any time before deletion.
8. Disclaimer of warranties
To the extent permitted by law, the Service is provided as is, without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet your specific requirements. We do not warrant the accuracy, completeness, or fitness for purpose of any AI-generated Outputs.
We do not claim certification under SOC 2, ISO 27001, HIPAA, PCI-DSS, or any other formal scheme. Our security and privacy practices are described honestly in the Privacy Policy; we will not overstate them.
9. Limitation of liability
To the maximum extent permitted by Swiss law, Pandora is not liable for indirect, incidental, special, consequential, or punitive damages — including loss of profits, loss of data, business interruption, or reputational harm — arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages.
Our total aggregate liability for any claim arising out of these Terms or the Service is capped at the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or CHF 100, whichever is greater.
Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for gross negligence or wilful misconduct under Swiss law.
10. Indemnity
You agree to indemnify and hold Pandora harmless from any claim by a third party arising out of (a) your use of the Service in breach of these Terms, (b) the content of the repositories you connect, or (c) the way you deploy Outputs into production. We will notify you promptly of any such claim and cooperate reasonably in its defence.
11. Changes to these Terms
We may update these Terms as the Service evolves and once we have completed a formal counsel review before general availability. Material changes are announced via email to active customers at least 14 days before they take effect. Continued use of the Service after that period counts as acceptance of the updated Terms. If you do not accept the changes, you can cancel before they take effect.
12. Governing law and disputes
These Terms are governed by the laws of Switzerland, without regard to its conflict-of-laws rules. Any dispute that cannot be resolved amicably will be subject to the exclusive jurisdiction of the competent courts of the Canton of Zurich, Switzerland.
If you are a consumer in the European Union, you may also benefit from mandatory consumer protection provisions of the law of your country of residence; nothing in these Terms removes those rights.
